These Terms of Service ("Terms") govern your access to and use of Carapis automotive data platform and API services ("Services"). By accessing or using our Services, you agree to be bound by these Terms.

1. Acceptance of Terms​

By creating an account, accessing our API, or using any of our Services, you:

• Agree to these Terms
• Represent that you have authority to bind your organization
• Confirm you are at least 18 years old
• Agree to our Privacy Policy

2. Description of Services​

Carapis provides:

• Data Extraction: Automated parsing of automotive listings from 25+ global platforms
• API Access: RESTful API for accessing vehicle data
• Customs Calculator: AI-powered import duty calculation tool
• Documentation: Technical documentation and support resources

3. Account Registration​

3.1 Account Creation​

• You must provide accurate and complete information
• You are responsible for maintaining account security
• You must notify us immediately of any security breaches
• One account per organization (multiple users allowed on enterprise plans)

3.2 API Keys​

• API keys are confidential - do not share them publicly
• You are responsible for all activity under your API keys
• We may revoke API keys for policy violations

4. Acceptable Use Policy​

4.1 Permitted Uses​

• Accessing vehicle data for business intelligence
• Building automotive marketplaces or search engines
• Market research and analysis
• Integration with your internal systems

4.2 Prohibited Uses​

You may NOT:

• Resell raw data without written permission
• Abuse the service (DDoS, excessive requests beyond plan limits)
• Circumvent rate limits or security measures
• Scrape our website or reverse engineer our systems
• Use for illegal purposes or violate third-party rights
• Impersonate other users or misrepresent affiliation
• Share API keys publicly or with unauthorized parties

4.3 Data Usage​

• Extracted data is subject to source platform terms
• You are responsible for compliance with applicable laws
• We are not liable for your use of the data
• Credit Carapis when displaying data publicly (optional but appreciated)

5. Subscription Plans and Billing​

5.1 Plans​

• Free Tier: 100 requests/day, 1 parser
• Starter: $99/month, 1,000 requests/day, 5 parsers
• Professional: $299/month, 10,000 requests/day, unlimited parsers
• Enterprise: Custom pricing, unlimited requests, SLA guarantees

5.2 Billing​

• Subscriptions are billed monthly or annually in advance
• Prices are in USD unless otherwise stated
• Annual plans receive 20% discount
• All fees are non-refundable except as required by law

5.3 Overages​

• Exceeding plan limits may result in additional charges or service throttling
• We'll notify you before charging overage fees
• Enterprise plans include dedicated capacity

5.4 Payment​

• Payments processed via Stripe (credit card) or wire transfer (enterprise)
• Failed payments may result in service suspension
• You agree to provide current payment information

5.5 Cancellation​

• Cancel anytime from your dashboard
• Cancellation effective at end of current billing period
• No refunds for partial months
• Data export available for 30 days post-cancellation

6. Service Level Agreement (SLA)​

6.1 Uptime Guarantee​

• Professional: 99.5% uptime
• Enterprise: 99.9% uptime with SLA credits

6.2 Support​

• Free: Email support (48h response)
• Starter: Email support (24h response)
• Professional: Email + live chat (12h response)
• Enterprise: Priority support, phone, dedicated account manager

6.3 Maintenance​

• Scheduled maintenance announced 7 days in advance
• Emergency maintenance may occur without notice
• We aim to minimize disruption

7. Data Accuracy and Availability​

7.1 Data Quality​

• We strive for 99%+ data accuracy
• We do not guarantee 100% accuracy
• Source platforms may change without notice
• We update parsers promptly when changes occur

7.2 Platform Availability​

• Parser availability depends on source platform access
• Some platforms may block or limit access temporarily
• We'll notify you of extended outages

8. Intellectual Property​

8.1 Our IP​

• Carapis platform, API, documentation, and trademarks are our property
• You receive limited license to use our Services per these Terms
• You may not copy, modify, or create derivative works

8.2 Your Data​

• You retain all rights to data you provide
• You grant us license to process data to provide Services
• We may use aggregated, anonymized data for improvements

8.3 Extracted Data​

• Source data belongs to original platforms
• You are responsible for compliance with source terms
• We disclaim ownership of extracted content

9. Confidentiality​

Both parties agree to:

• Protect confidential information
• Not disclose to third parties without consent
• Use confidential information only for intended purposes
• Return or destroy confidential information upon request

10. Warranties and Disclaimers​

10.1 Limited Warranty​

We warrant that Services will perform substantially as described.

10.2 Disclaimer​

Services provided "AS IS" without warranties of any kind. We disclaim:

• MERCHANTABILITY
• FITNESS FOR PARTICULAR PURPOSE
• NON-INFRINGEMENT
• ACCURACY OR COMPLETENESS OF DATA

You use Services at your own risk.

11. Limitation of Liability​

11.1 Liability Cap​

Our total liability is limited to fees paid in the 12 months preceding the claim.

11.2 Excluded Damages​

We are not liable for:

• Indirect, incidental, or consequential damages
• Lost profits or revenue
• Data loss
• Business interruption
• Third-party claims

Limitations don't apply to:

• Gross negligence or willful misconduct

12. Indemnification​

You agree to indemnify and hold Carapis harmless from claims arising from:

• Violation of third-party rights
• Your data or content

13. Term and Termination​

13.1 Term​

These Terms remain in effect while you use Services.

13.2 Termination by You​

• Cancel subscription anytime
• Effect at end of billing period
• Immediate termination available upon request

13.3 Termination by Us​

We may terminate immediately if you:

• Violate these Terms
• Engage in illegal activity
• Abuse the service
• Fail to pay

13.4 Effect of Termination​

Upon termination:

• API access revoked immediately
• Data export available for 30 days
• Billing ceases (no refunds for partial periods)
• Certain provisions survive (IP, confidentiality, limitations)

14. Changes to Terms​

We may modify these Terms by:

• Posting updated Terms on our website
• Notifying you via email
• Giving 30 days notice for material changes

Continued use after changes constitutes acceptance.

15. Dispute Resolution​

15.1 Informal Resolution​

Contact us first to resolve disputes informally.

15.2 Arbitration​

Disputes resolved through binding arbitration, not court.

15.3 Class Action Waiver​

No class actions - disputes resolved individually.

15.4 Exceptions​

Either party may seek injunctive relief in court for IP violations.
